Terms of Service

1. Agreement to These Terms

These Terms of Service (the "Terms") form a legally binding agreement between you and Bloxena FZCO, a company registered at Unit No: UT-12-CO-385, DMCC Business Centre, Level No 12, Uptown Tower, Dubai, United Arab Emirates ("Bloxena", "we", "us", or "our"), the operator of the Bloxena platform available at bloxena.com and its subdomains (the "Service").

By creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy and Refund & Cancellation Policy, which are incorporated into these Terms by reference. If you do not agree to these Terms, you must not use the Service.

3. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By registering, you represent and warrant that you meet these requirements.

You agree to provide accurate and complete information when creating your account and to keep it up to date. You may maintain only one account per person. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at michal@bloxena.com if you suspect unauthorized use of your account.

4. Plans, Subscriptions, and Billing

The Service is offered on a Free plan and on paid subscription plans: Premium at $29 per month and Pro at $89 per month. Paid plans are billed monthly in advance through our payment processor, Stripe. By subscribing, you authorize recurring charges to your chosen payment method until you cancel.

Certain premium features consume credits. Each plan includes a monthly credit allowance, and credit costs for individual features are displayed within the Service. Credits have no cash value, are not transferable, and expire as described in the Service. API access is available on the Pro plan and is subject to the usage limits described in the Service.

We may change our prices or plan features from time to time. Price changes for existing subscribers take effect at the next billing cycle after reasonable advance notice. Applicable taxes (such as VAT or sales tax) may be added to your charges depending on your location.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. After cancellation, you retain access to paid features until the end of the current paid billing period. We do not provide prorated refunds for partial billing periods. Full details, including the rights of consumers in the European Union and the United Kingdom, are set out in our Refund & Cancellation Policy.

6. Acceptable Use

You agree not to misuse the Service. In particular, you must not:

• scrape, crawl, harvest, or systematically extract data from the Service by automated means outside of the documented API;
• resell, redistribute, sublicense, or commercially exploit data, scores, research, or other content obtained from the Service without our prior written consent;
• reverse engineer, decompile, or attempt to discover the source code, models, or scoring methodologies underlying the Service;
• circumvent or attempt to circumvent API rate limits, credit accounting, plan restrictions, or any security measure;
• share your account or API keys with third parties, or use the Service to build a competing product;
• use the Service in violation of any applicable law or regulation, or in a way that could damage, disable, or impair the Service.

API usage is subject to rate limits. We may throttle, suspend, or terminate access that exceeds published limits or that we reasonably believe constitutes abuse.

7. Intellectual Property

The Service, including its software, design, branding, scores, indexes, research content, and all related intellectual property, is owned by Bloxena FZCO or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business purposes. No other rights are granted. The Bloxena name and logo may not be used without our prior written permission.

8. Third-Party Data and Services

The Service aggregates and processes data from third-party sources, including market data providers, blockchain data services, exchanges, social platforms, and news sources. We do not control these sources and are not responsible for the accuracy, completeness, or timeliness of the data they supply. Third-party services linked from the Service are governed by their own terms and policies.

9. No Guarantee of Accuracy or Availability

While we work to keep the Service accurate and available, we do not guarantee that any data, score, or analysis is accurate, complete, current, or error-free, or that the Service will be uninterrupted or free of defects. Market data may be delayed, estimated, or revised. We may modify, suspend, or discontinue any part of the Service at any time.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

To the maximum extent permitted by law, Bloxena FZCO and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or trading losses, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim, or one hundred US dollars ($100) if you have not made any payments. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Bloxena FZCO and its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or if we reasonably believe your use poses a risk to the Service or to other users. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

14. Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates, except where mandatory consumer protection law in your country of residence provides otherwise.

15. Changes to These Terms and Contact

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
